Sell-side readiness review

A sell-side readiness review prepares a company for the technology and security diligence a buyer’s advisers will perform: it finds what they will find, fixes what can be fixed in time, documents what cannot, and assembles the evidence room so that diligence confirms rather than discovers. It is needed four to eight weeks before a sale, financing or investment process begins, when founders know there are gaps but not how a buyer will weigh them, or when a previous process stalled on technical findings. The review produces a buyer’s-eye assessment of security, infrastructure, data, AI and dependencies, a prioritized fix list with what is achievable before the process, an evidence room organized to the questions buyers ask, and a disclosure approach for the issues that remain.

Questions

Asked before engaging.

Will fixing things before a sale change the valuation?

We do not make valuation claims. Buyers price uncertainty; readiness reduces it and shortens diligence.

Should we disclose problems we cannot fix?

Undisclosed problems found in diligence are worse than disclosed ones. The disclosure approach is prepared with your advisers.

Can you support us during the buyer’s diligence?

Yes. Fielding the buyer’s technical questions with evidence ready is part of the service.
