Flat-fee versus percentage-of-spend media management
Under a percentage-of-spend arrangement, the manager’s revenue rises when your advertising budget rises. Under a flat fee, the manager is paid the same whether spend rises, holds or falls. The arrangement shapes the advice: a percentage manager is rarely rewarded for recommending less spend, and a flat-fee manager has no reason to recommend more than the evidence supports. For an organization that intends to replace paid demand with earned and cited demand over time, the fee structure determines whether the manager can be trusted to say when that has happened.
At a glance
The criteria that decide it.
| Criterion | Flat fee | Percentage of spend |
|---|---|---|
| Manager’s incentive | Inquiry volume at the lowest spend that holds it | Higher spend; growth of the account |
| Advice to spend less | Expected whenever the evidence supports it | Structurally discouraged |
| Transparency | Fee is known; spend is yours; accounts in your name | Fee scales with spend; account ownership varies |
| Metric managed to | Cost per qualified inquiry | Often cost per click, impression share or conversions as the platform counts them |
| New platforms | Added only where evidence shows your buyers inquire from there | Every platform is additional revenue |
| Exit | Handback and documentation planned from the start | Often held in the agency’s accounts |
Criteria
Each one, explained.
Incentive
The incentive is the structure. A manager paid a percentage of spend who recommends cutting spend is cutting their own revenue. Some do it anyway; the structure does not help them. A flat fee removes the conflict rather than relying on character to overcome it.
Metric
Percentage arrangements tend to report metrics that justify spend: clicks, impression share, platform-counted conversions. A flat-fee governance engagement reports cost per qualified inquiry, reconciled against the inquiries the business actually received, and the share of inquiries that now arrive without paid spend.
Platforms
Under a percentage, every new platform is new revenue. Under a flat fee, a platform is added only where evidence shows the organization’s buyers are there and inquire from there, and stopped when the evidence says so.
Exit
Agencies paid on spend have reasons to keep accounts in their own names. Flat-fee governance verifies your ownership at the start and plans the handback from day one, because the terms say everything is yours.
Recommendation
Who each option suits.
Choose a flat fee whenever paid spend is material, whenever the plan is to grow earned demand and reduce paid spend over time, and whenever you want a manager whose recommendation to spend less you can believe. A percentage arrangement is tolerable only for small, stable accounts where the conflict is immaterial, and even then the account should be in your name.
