Technology due diligence
Technology due diligence is an independent examination of a company’s technology, security, data obligations, dependencies and technical debt, performed for a buyer, investor, lender or the company itself ahead of a transaction.
Extended definition
In more detail.
Buy-side diligence tells an acquirer what it is buying and what should be reflected in price, warranties and conditions. Sell-side readiness prepares a company so that diligence confirms rather than discovers. The work covers security posture, infrastructure resilience, privacy and AI obligations, key-person and vendor dependencies, and remediation cost, reported in the form a board or investment committee can act on.
